These Terms of Service (“Terms”) govern all products and services provided by Zoom Packaging. By accessing our website, submitting an inquiry, approving proofs, placing an order or making a payment, the customer (“Buyer”) agrees to be legally bound by these Terms. These Terms apply to all transactions unless expressly agreed otherwise in writing by Zoom Packaging.
- Scope of Services
Zoom Packaging specializes in the production of custom packaging and printed products, including but not limited to custom boxes, gift bags, tags, business cards, table tents and other branded materials. All products are manufactured according to specifications approved by the Buyer and are considered custom-made unless explicitly stated otherwise. Because of the custom nature of the Goods, variations in materials, finishes and production processes may occur and are considered industry standard.
- Orders and Customer Responsibilities
The Buyer is responsible for providing complete, accurate, and lawful specifications, artwork, measurements, quantities, and delivery information. Zoom Packaging shall not be responsible for errors originating from Buyer-provided materials once proofs or specifications have been approved. Approval of proofs constitutes the Buyer’s confirmation that all details are correct and Zoom Packaging shall not be liable for any errors discovered after production has commenced.
- Pricing and Quotations
All prices are quoted based on the specifications provided at the time of inquiry and are subject to change due to fluctuations in material costs, production requirements or availability. Prices do not include taxes, shipping, customs duties, or additional services unless expressly stated. Quotes are valid only for the period specified and are not binding until accepted by the Buyer and confirmed by Zoom Packaging.
- Payment Terms
Payment terms are determined by Zoom Packaging and may require full or partial payment prior to production. Accepted payment methods include approved electronic payment processors and other methods authorized by the Seller. Failure to remit payment within the agreed timeframe may result in delayed production, suspension of services or cancellation of the order without liability to Zoom Packaging.
- Proofs, Samples and Variations
Digital proofs, physical samples and prototypes are provided for reference purposes only. Due to differences in monitors, printing methods, materials and finishing techniques, slight color or structural variations may occur between proofs, samples and final products. Such variations shall not be considered defects. Once proofs are approved, production proceeds at the Buyer’s risk.
- Production and Delivery Timelines
Production and delivery timelines are estimates and are not guaranteed. Delays may occur due to revisions, material sourcing, shipping carrier performance, customs clearance or circumstances beyond Zoom Packaging’s reasonable control. Zoom Packaging shall not be liable for damages resulting from delayed delivery.
- Shipping and Inspection
Risk of loss or damage transfers to the Buyer upon delivery of the Goods to the shipping carrier or upon receipt by the Buyer. The Buyer is responsible for inspecting all Goods immediately upon delivery and must notify Zoom Packaging in writing of any defects, shortages or damages within a reasonable timeframe (5-7 days). Failure to do so may result in the claim being denied.
- Cancellations and Refunds
Because all Goods are custom-made, orders may not be canceled once production has begun. Refunds are not guaranteed and, if approved, may exclude costs already incurred for materials, labor, setup, sampling and shipping. Any refund determination shall be made at the sole discretion of Zoom Packaging.
- Intellectual Property and Indemnification
Upon full payment, ownership of the final manufactured Goods transfers to the Buyer unless otherwise agreed in writing. The Buyer represents and warrants that all artwork, logos and content supplied are legally owned or licensed and do not infringe upon third-party rights. The Buyer agrees to indemnify and hold Zoom Packaging harmless from any claims arising from the use of Buyer-supplied materials.
- Limitation of Liability
Zoom Packaging’s total liability for any claim arising from the sale or use of its products shall not exceed the amount paid by the Buyer for the specific order giving rise to the claim. Under no circumstances shall Zoom Packaging be liable for indirect, incidental or consequential damages, including lost profits or business interruption.
- Force Majeure
Zoom Packaging shall not be held liable for failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, labor disputes, material shortages, transportation delays, governmental actions or natural disasters.
- Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved exclusively in the courts located within the Seller’s operating jurisdiction.
